1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below: "Prismara," "we," "us," or "our" refers to Prismara, a business registered in Songkhla, Thailand. "Service" refers to the AI consulting, feasibility studies, NLP solutions, and strategic partnership programs offered by Prismara. "User," "you," or "your" refers to any person or organization accessing our website or engaging our services. "Agreement" refers to these Terms and Conditions together with any service-specific agreements or proposals. "Content" refers to all text, data, images, and materials on our website or provided through our services.
2. Acceptance of Terms
By accessing or using our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services. You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.
3. Description of Services
Prismara provides AI consulting services including feasibility studies for AI use cases, natural language processing solution design and deployment, and strategic AI partnership programs. Services are delivered in accordance with individually agreed project scopes, timelines, and pricing. Service availability may vary based on current capacity and geographic reach.
4. User Responsibilities
When using our website or services, you agree to: provide accurate and complete information in any forms or communications, use our website and services only for lawful purposes, not attempt to gain unauthorized access to any part of our website or systems, not reproduce, distribute, or modify our content without written permission, and cooperate in good faith during service engagements by providing requested data and feedback in a timely manner.
5. Intellectual Property
All content on our website — including text, graphics, logos, design elements, and software — is the intellectual property of Prismara or its licensors and is protected by Thai and international copyright laws. You are granted a limited, non-exclusive, non-transferable license to access and view the website content for personal or internal business use. Deliverables produced under a paid service engagement become your property upon full payment, unless otherwise specified in the project agreement. Our methodologies, tools, frameworks, and proprietary processes remain the intellectual property of Prismara.
6. Payment Terms
All prices are quoted in Thai Baht (฿) unless otherwise stated. For project-based services, payments are typically structured as an initial payment upon agreement and a final payment upon delivery. The Strategic AI Partnership Program is billed on a monthly or quarterly basis as agreed. Payment methods and detailed terms will be specified in individual service agreements. Late payments may be subject to a service suspension after 30 days written notice.
7. Service-Specific Terms
Feasibility Studies: The deliverable is an analytical report with recommendations. Recommendations are professional opinions based on available data and are not assurances of specific outcomes. Prismara is not liable for business decisions made based on feasibility study findings.
NLP Solutions: Solutions are built to the specifications agreed during the requirements phase. Post-launch support is included for a sixty-day period. Modifications beyond the agreed scope may require additional fees. You are responsible for providing accurate test data during development.
Strategic AI Partnership: The program operates on a retainer basis with a minimum commitment of three months. Either party may terminate the arrangement with 30 days written notice after the minimum period. The scope of ongoing services is reviewed monthly.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during a service engagement. This obligation survives the termination of any agreement for a period of two years. Confidential information does not include information that becomes publicly available through no fault of the receiving party or is independently developed without reference to the disclosing party's information.
9. Disclaimers
Our website and services are provided on an "as is" and "as available" basis. While we strive for accuracy and quality, we do not warrant that our services will be uninterrupted or error-free. Prismara does not make guarantees regarding specific business outcomes from the use of our services. AI technologies involve inherent uncertainty, and results may vary depending on data quality, organizational factors, and market conditions. Information on our website is for general informational purposes and does not constitute professional advice for your specific situation.
10. Limitation of Liability
To the maximum extent permitted by Thai law, Prismara's total liability under any service engagement shall not exceed the fees paid by you for that specific engagement. We shall not be liable for indirect, incidental, consequential, or punitive damages arising from or related to the use of our services or website. Force majeure events — including natural disasters, government actions, pandemics, or infrastructure failures — shall relieve either party from performance obligations for the duration of such events.
11. Indemnification
You agree to indemnify and hold harmless Prismara, its officers, employees, and agents from any claims, damages, or expenses arising from your breach of these Terms, your misuse of deliverables, or your violation of any applicable law or third-party rights.
12. Termination
Either party may terminate a service engagement as specified in the applicable service agreement. We reserve the right to suspend or terminate website access for users who violate these Terms. Upon termination of services, any outstanding fees remain payable. Provisions regarding intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
13. Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from or relating to these Terms shall first be addressed through good-faith negotiation between the parties. If negotiation does not resolve the dispute within 30 days, either party may submit the matter to the Civil Court of Songkhla Province, Thailand, which shall have jurisdiction.
14. General Provisions
These Terms, together with any applicable service agreements, constitute the entire agreement between you and Prismara. If any provision is found to be unenforceable, the remaining provisions shall continue in effect. Our failure to enforce any right or provision does not constitute a waiver of that right. We may assign our rights and obligations under these Terms without your consent. You may not assign your rights without our written consent.
15. Changes to Terms
We may revise these Terms and Conditions at any time by posting updated terms on this page. Changes take effect upon posting. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. For material changes that affect existing service engagements, we will provide at least 14 days notice via email.
